DESCRIPTION
Amazon Web Services (AWS) is seeking an experienced Associate Corporate Counsel to support the growing volume of complex cloud modernization agreements with enterprise customers.
You will be the lead negotiator for supporting the business team through the entire deal cycle of a cloud modernization agreement, from developing internal strategy through negotiation and closing. In this role, you will lead complex negotiations with enterprise customers, including drafting custom contract terms and collaborating with internal stakeholders (such as finance, security and compliance teams). To be successful, you will be required to facilitate smooth negotiations that strengthen customer relationships and eliminate friction.
You will need to understand and be able to explain contract terms to customers and identify ways to meet customers’ needs. You will lead the effort to resolve all customer questions and concerns in contract negotiations, including collaboration with cross-functional teams on specific areas of concern. You will be an expert in bringing the different AWS teams and the customer to final closure on outstanding issues, including obtaining required approvals, creating executables, and managing their delivery and execution.

Key job responsibilities
– Leading high-stakes, competitive, time-intensive – negotiations with enterprise customers.
– Evaluating and drafting custom contract terms.
– Influencing and earning trust with enterprise customers.
– Collaborating with internal stakeholders and subject matter experts to resolve customer issues and minimize risk to AWS.
BASIC QUALIFICATIONS
– 2+ years of legal experience
– Juris Doctor and membership in one state bar or equivalent
– Transactional experience, including drafting and negotiating commercial contracts
PREFERRED QUALIFICATIONS
– Ability to lead customer-facing negotiations and resolve customer questions and concerns, while providing consistent reporting on deal status and outcomes to stakeholders
– Ability to explain standard agreement terms to counterparties and negotiate fallback positions to those terms where appropriate
– Ability to advise business teams to support the strategy, negotiation and execution of commercial contracts
– Ability to create, maintain and improve standard operating procedures and negotiation resources pertaining to commercial contracting
– Excellent organizational skills, ability to provide oversight, guidance and management to multiple projects at once, and follow through and meet deadlines
– Excellent interpersonal and oral and written communication skills
– Highest standards of ethics and professional integrity
– Great business judgment, including in ambiguous situations
– Ability to prioritize in a fast-moving environment

Our compensation reflects the cost of labor across several US geographic markets. The base pay for this position ranges from $118,400/year in our lowest geographic market up to $195,700/year in our highest geographic market. Pay is based on a number of factors including market location and may vary depending on job-related knowledge, skills, and experience. Amazon is a total compensation company.
